1. Acceptance of Terms
By accessing and using NotaryPing's services, including the NotaryPing mobile applications (iOS and Android), website at www.notaryping.app, and all related services (collectively, the “Platform”), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and NotaryPing, Inc. (“NotaryPing,” “Company,” “we,” “us,” or “our”), a company incorporated in the State of Georgia, United States.
2. Description of Service
NotaryPing provides a platform connecting notaries with clients seeking notarization services. We facilitate scheduling, communication, real-time GPS tracking, and payment processing between parties. NotaryPing is a technology marketplace and does not itself provide notarization services, legal advice, or act as a notary public. All notarization services are performed by independent, licensed notary professionals.
The Platform enables users to: search for and connect with nearby mobile notaries; schedule notarization appointments; track notary arrival in real-time; communicate securely with notaries through in-app messaging; process payments for notarization services; and manage their service history and preferences.
3. User Accounts
To use our services, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Not create more than one personal account
- Not transfer, sell, or assign your account to another party
You are solely responsible for all activities that occur under your account. NotaryPing reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
4. Notary Requirements
Notaries using our platform must:
- Hold a valid notary commission in their state of operation
- Maintain current professional liability insurance (errors and omissions coverage)
- Comply with all applicable state and federal laws governing notarization
- Provide accurate information about their credentials, availability, and location
- Complete our identity verification and background check process
- Maintain professional conduct in all interactions with clients
- Keep their notary commission, insurance, and other credentials current and in good standing
- Promptly notify NotaryPing of any changes to their commission status or insurance coverage
Notaries are independent contractors and are not employees, agents, or representatives of NotaryPing. NotaryPing does not control the manner or method by which notaries perform their services.
5. Fees and Payment
Service fees are clearly stated at the time of booking. By completing a transaction, you agree to pay all applicable fees. Notaries set their own service fees, and NotaryPing displays these fees transparently before you confirm a booking.
Notary Subscription: Notaries pay a flat monthly subscription fee of $10 to access the platform. NotaryPing does not charge commissions or per-transaction fees — notaries keep 100% of their service earnings.
Payment Processing: All payments are processed through secure third-party payment processors. NotaryPing does not store complete payment card information on its servers.
Refund Policy: Refund policies vary based on the circumstances and timing of cancellation. See Section 6 for our cancellation policy.
6. Cancellation Policy
Users may cancel appointments according to our cancellation policy. Cancellations made more than 2 hours before the scheduled appointment time will receive a full refund. Cancellations made less than 2 hours before the appointment may incur a cancellation fee. Late cancellations or no-shows may result in the full service fee being charged.
Notaries must provide reasonable notice for cancellations. Repeated cancellations by a notary may result in account suspension or termination.
7. Limitation of Liability
NotaryPing is a platform that connects users with independent notaries. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTARYPING IS NOT RESPONSIBLE FOR:
- The quality or accuracy of notarization services
- Actions or omissions of notaries or clients
- Disputes between notaries and clients
- Compliance with notarization requirements by individual notaries
- Any loss of data, revenue, or profits arising from use of the Platform
- Service interruptions, delays, or errors in the Platform
IN NO EVENT SHALL NOTARYPING'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NOTARYPING IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
8. Intellectual Property
All content, trademarks, service marks, trade names, logos, and other intellectual property on our platform are owned by NotaryPing, Inc. or our licensors. You may not use, copy, reproduce, modify, distribute, or create derivative works based upon our content without prior written permission. The NotaryPing name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of NotaryPing, Inc.
9. Prohibited Activities
Users may not:
- Use the platform for any illegal purposes or to facilitate illegal activities
- Circumvent our fees by conducting transactions off-platform with notaries or clients found through NotaryPing
- Harass, abuse, threaten, or harm other users or notaries
- Provide false, misleading, or inaccurate information
- Interfere with or disrupt the platform's operation, servers, or networks
- Attempt to gain unauthorized access to any part of the Platform or its systems
- Use automated means (bots, scrapers, spiders) to access or collect data from the Platform
- Impersonate any person or entity or misrepresent your affiliation
- Upload or transmit viruses, malware, or other malicious code
- Violate any applicable local, state, national, or international law
10. Indemnification
You agree to defend, indemnify, and hold harmless NotaryPing, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including but not limited to any use of the Platform's content, services, and products other than as expressly authorized in these Terms.
11. Dispute Resolution
Binding Arbitration: Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (“AAA”). The arbitration shall be conducted in the English language, and the arbitrator's decision shall be final and binding. The seat of arbitration shall be Atlanta, Georgia.
Class Action Waiver: YOU AND NOTARYPING AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Jury Trial Waiver: YOU AND NOTARYPING HEREBY WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY ACTION OR LITIGATION ARISING OUT OF OR RELATED TO THESE TERMS.
Notice and Cure: Before initiating arbitration, you must send a written notice of dispute to NotaryPing at [email protected] describing the nature and basis of the claim and the specific relief sought. NotaryPing shall have sixty (60) days from receipt of your notice to attempt to resolve the dispute informally.
Small Claims Exception: Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.
12. Termination
We reserve the right to suspend or terminate accounts that violate these terms or for any other reason at our discretion, with or without notice. Upon termination: your right to access the Platform ceases immediately; any outstanding fees remain due and payable; sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, limitation of liability, and dispute resolution.
You may terminate your account at any time by contacting us at [email protected] or through the app settings. Termination of your account does not relieve you of any obligations incurred prior to termination.
13. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. NOTARYPING SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NOTARYPING DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Fulton County, Georgia.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the original provision.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and NotaryPing regarding your use of the Platform. Any prior agreements, representations, or understandings between you and NotaryPing regarding the Platform are superseded by these Terms.
17. Changes to Terms
We may modify these terms at any time. We will provide notice of material changes through the Platform, via email to your registered address, or by posting a prominent notice on our website. Continued use of our services after changes are posted constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue use of the Platform.
